1. Acceptance
By creating an Industry account or launching a campaign, you agree to these Terms on behalf of your organization and warrant that you have authority to bind it.
2. Platform role
Create Mate provides tools for you to list/host campaigns, select creators, approve submissions, and fund payouts. Create Mate is not a talent agency and does not employ creators. You are responsible for your brief, budget, and lawful use of materials.
3. Fees, budgets, and payments
- Pricing model (hosted campaigns): Total due = Campaign Budget + 15% Create Mate fee.
- Processor fees included in Budget: Payment processor fees for creator payouts are deducted from Campaign Budget; no additional charges are billed to you for those payout fees.
- Funding & escrow: You authorize Create Mate (via marketplace payouts such as Stripe Connect Express) to collect the Total due and allocate funds to the campaign wallet.
- Approvals & payouts: When you approve a submission (according to your brief criteria), the relevant creator payout is released (net of processor fees).
- Taxes: You're responsible for providing valid billing details and any VAT/ABN/Tax IDs. If required by law, we may issue tax invoices showing our service fees.
4. Campaign briefs & performance
- You will provide a clear brief including eligibility, deliverables, timelines, and approval criteria.
- You must not require creators to engage in unsafe, unlawful, or deceptive practices.
- You are responsible for compliance with advertising and disclosure rules (e.g., ASA/FTC/ACCC).
- You are responsible for ensuring any platform (TikTok/Instagram/YouTube) policy requirements are reflected in the brief.
5. Intellectual property & licences
- Your materials: You represent and warrant you own or control the rights to all materials you supply (music, artwork, logos) and grant creators a limited, non-exclusive licence to use them solely to create the campaign submission.
- Creator content: Creators retain ownership. Upon approval, you receive a limited, worldwide, non-exclusive, royalty-free licence to use the submission for the campaign purposes and term described in the brief (e.g., organic reposts).
- Paid boosting/whitelisting: Any paid media or whitelisting requires a separate, opt-in licence from each creator (duration, territory, placements, spend caps).
- Create Mate showcase: We may use thumbnails, snippets, metadata, and performance metrics for case studies, sales, and product features.
6. Prohibited conduct
You must not:
- solicit or induce fake engagement, non-compliant tactics, or purchase of illegal traffic;
- upload infringing materials or require creators to violate platform rules;
- circumvent the Platform to avoid fees on a campaign initiated here (within 6 months of initial contact through the Platform);
- misuse any personal information obtained via the Platform (use it only for the campaign).
7. Trust & Safety; enforcement
We may reject, suspend, or cancel campaigns that violate law or these Terms. We may hold or claw back funds if fraud is suspected. We may remove content or access to prevent harm or legal risk.
8. Cancellations & refunds
- Before creator approvals: you may cancel; we refund the Campaign Budget less any non-recoverable processor fees; the 15% Create Mate fee is refundable at our discretion where no material work has commenced.
- After approvals: proportional refunds may be available if there is clear non-performance by creators as determined by Platform evidence; otherwise, payouts already triggered will stand.
- Chargebacks: if chargebacks or disputes occur, we may pause payouts and reconcile amounts based on outcome.
9. Data protection & confidentiality
- You agree to use personal data obtained via the Platform only for campaign management, subject to our Privacy Policy and applicable laws.
- You will not export personal data outside the Platform except where necessary for campaign operations and in compliance with law.
- You will keep confidential any non-public information about creators, other clients, or the Platform.
- You acknowledge Create Mate's Privacy Policy governs processing. You consent to the use of vendors/processors, including cross-border transfers subject to SCCs and safeguards.
10. Warranties & indemnities
You warrant: (i) you have rights to campaign materials; (ii) your campaigns comply with law and platform rules; (iii) you will provide accurate information. You will indemnify Create Mate for claims arising from your materials, briefs, or noncompliance.
11. Disclaimers & limitation of liability
The Platform is provided "as is." To the fullest extent permitted by law, Create Mate disclaims all implied warranties. Create Mate's aggregate liability is limited to the total Create Mate fee you paid in the 3 months preceding the claim. Nothing limits liability for fraud, death/personal injury due to negligence, or other non-excludable liabilities.
12. Termination
We may suspend or terminate your access for breach, legal risk, or harm. Upon termination, we will reconcile campaign wallets and issue any due payouts or refunds per these Terms.
13. Dispute resolution; governing law
Governing law: England & Wales.
Before arbitration, parties will attempt good-faith mediationfor 30 days. If unresolved, disputes are finally settled by LCIA arbitration in London, in English, by one arbitrator. Emergency/injunctive relief may be sought in competent courts.
14. Changes
We may update these Terms; we will notify you where required. Continued use constitutes acceptance.
